1. Agreement to Terms

By accessing or using the services provided by Ad Astrum LLC ("Company," "we," "our," or "us"), including our website adastrum.co and our mobile applications (Aromi.ai, Finanly.ai, Organiko.ai, Kayro), collectively referred to as "Services," you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.

2. Description of Services

Ad Astrum LLC provides technology consulting, software development, and mobile applications. Our apps include:

Aromi.ai — IoT platform for connected coffee machines
Finanly.ai — Finance intelligence platform
Organiko.ai — USDA organic compliance software
Kayro — Unified messaging platform

We reserve the right to modify, suspend, or discontinue any part of our Services at any time.

3. User Accounts

You may need to create an account to use certain features.
You are responsible for maintaining the confidentiality and security of your account credentials.
You must provide accurate and complete information when creating your account.
You must be at least 13 years old to create an account. Certain features may require you to be at least 18 years old.
Only one account per person is permitted unless otherwise authorized by Ad Astrum LLC.
We may suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree NOT to:

Use Services for any unlawful purposes
Violate any applicable local, state, national, or international laws or regulations
Infringe on the intellectual property rights of others

5. Intellectual Property

All content, features, and functionality of our Services are owned by Ad Astrum LLC and are protected by copyright, trademark, and other intellectual property laws.
Our trademarks, service marks, logos, and trade names may not be used without our prior written permission.
You retain ownership of any content you submit through our Services, but you grant Ad Astrum LLC a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
Refunds are handled in accordance with the applicable app store policies (e.g., Apple App Store, Google Play Store).
You are responsible for any applicable taxes associated with your use of our Services.

8. Third-Party Services

Our Services may contain links to or integrations with third-party websites, applications, or services.
We are not responsible for the content, privacy practices, or policies of any third-party services.
Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
For applications downloaded through the Apple App Store, the Apple Licensed Application End User License Agreement and applicable App Store terms also apply.

9. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AD ASTRUM LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AD ASTRUM LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO AD ASTRUM LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ad Astrum LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
You may stop using our Services at any time by deleting your account or ceasing all use.
Upon termination, provisions of these Terms that by their nature should survive will remain in full force and effect, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Sacramento County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

14. Dispute Resolution

The parties shall first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms through informal negotiation. You may contact us at info@adastrum.co to initiate informal resolution.
If informal resolution is not achieved within thirty (30) days, any remaining dispute shall be resolved through final and binding arbitration.
Arbitration shall be conducted under the rules of the American Arbitration Association (AAA) in Sacramento, California.
Class action waiver: All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

15. Changes to Terms

We reserve the right to update or modify these Terms at any time at our sole discretion.
Material changes will be communicated to you via email or through a prominent notice on our website.
Your continued use of our Services after the effective date of any changes constitutes your acceptance of the updated Terms.
If you disagree with any changes, you must discontinue your use of our Services immediately.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by Ad Astrum LLC on our Services, constitute the entire agreement between you and Ad Astrum LLC regarding your use of our Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
